Terms and Conditions of Services

1. Company Information

These Terms and Conditions govern access and use of the digital services provided by:

Widder Italia SRL is the entity that provides the digital services and issues invoices for paid services.

2. Object of the services

Widder Italia SRL develops and provides software, digital platforms, and technological services for businesses and professionals.

Services may include:

• online software platforms;
• website creation and management;
• digital presence management;
• content publishing tools;
• social media synchronization;
• digital menu management;
• integration with external services;
• SaaS services.

Among the platforms developed by Widder Italia SRL are, as an example:

• ProntoEasy;
• SocialStream.

3. Acceptance of the terms

By accessing or using the services provided by Widder Italia SRL, the user fully accepts these Terms and Conditions.

If the user uses the services on behalf of a company or organization, they declare they have the necessary authority to accept this agreement.

4. Access to services

To use some services, it may be required:

• the registration of an account.
• Acceptance of these terms;
• signing a plan or a commercial agreement.

The user is responsible for the security of their access credentials.

5. Software Usage License

The software, platforms, technologies, and systems developed by Widder Italia SRL remain the exclusive property of the company.

The user is granted solely a limited, non-exclusive, non-transferable, and revocable license to use the services.

The user does not acquire any ownership rights to the software.

6. Prohibition of resale

Unless otherwise agreed in writing, the user may not:

• resell the services;
• authorize sublicenses;
• distribute or replicate the platform;
• use the software to create competing services.

7. User Responsibility

The user is responsible for the content published or managed through the services.

Such content may include:

• texts;
• images;
• menus;
• prices;
• ingredients;
• allergens;
• commercial descriptions.

Widder Italia SRL does not pre-verify such content.

8. Unauthorized use of the services

It is prohibited to use the services for:

• illegal activities;
• spam or unauthorized communications;
• phishing;
• online fraud;
• malware distribution;
• violation of third-party rights.

Widder Italia SRL may suspend the account immediately in case of violation.

9. Third-party services

The services may integrate third-party platforms or tools including:

• cloud services;
• social networks;
• payment services;
• traffic analysis tools.

Widder Italia SRL is not responsible for any malfunctions caused by third-party services.

10. Technological Infrastructure

The services may be hosted on cloud infrastructures of third-party providers, including Amazon Web Services (AWS) or equivalent infrastructures.

Widder Italia SRL reserves the right to modify or migrate the technical infrastructures used for service delivery.

11. Management of Domain Names

Widder Italia SRL may register and manage domain names on behalf of the client.

The domain may be registered directly in the name of the client.

Widder Italy SRL may be designated as the technical contact for domain management and DNS configuration.

12. Domain management service

The domain management service may include:

• domain registration;
• annual renewal;
• DNS configuration;
• technical management.

The cost of the domain management service is €50 + VAT annually, unless otherwise specified in the contract.

13. DNS Configuration

For the proper functioning of the services, the client authorizes Widder Italy SRL to configure the necessary DNS records.

Configurations may include:

• CNAME records;
• A records;
• CDN configurations or content delivery systems (e.g., CloudFront).

Widder Italy SRL is not responsible for DNS changes made by the client or third parties.

14. Payments

Some services are provided at a cost.

The economic conditions are specified in the commercial offers or specific contracts.

15. Non-payment

In case of non-payment, Widder Italy SRL may:

• suspend access to services;
• restrict the use of the platforms;
• suspend website publication.

16. Chargeback

If the user requests their bank to reverse a payment (chargeback), Widder Italy SRL may:

• immediately suspend services;
• deactivate the account;
• demand payment of the amounts owed.

17. Service availability

Widder Italy SRL commits to providing the services with the utmost professional diligence.

However, services may experience temporary interruptions due to:

• maintenance;
• technical updates;
• security interventions;
• causes outside of control.

18. No guarantee on results

Widder Italy SRL does not guarantee economic, commercial or visibility results derived from the use of the services.

19. Software and technology ownership

The software, platforms, source codes, technologies, graphical interfaces, and any components of the provided services remain the exclusive property of Widder Italy SRL.

The user's use of the services does not entail any transfer of ownership or intellectual property rights.

The user is granted only a limited, non-exclusive, non-transferable, and revocable license for the use of the offered services.

20. Prohibition of resale or sublicense

Unless otherwise agreed in writing, the user may not:

• resell the services;
• grant sublicenses;
• distribute or replicate the platform;
• use the services to create competing services.

Any unauthorized commercial use may result in immediate suspension of the account.

21. Unauthorized use of services

It is prohibited to use the services provided by Widder Italia SRL for:

• illegal activities;
• spam or unsolicited communications;
• phishing or online fraud;
• distribution of malware or harmful software;
• violation of third-party rights.

Widder Italia SRL reserves the right to immediately suspend the account or limit access to the services in case of illegal use.

22. Responsibility for published content

Users are solely responsible for the content published through the services.

Such content may include, for example:

• digital menus;
• ingredients and allergens;
• prices;
• product or service descriptions;
• images and promotional materials.

Widder Italia SRL is limited to providing the technological platform and does not pre-verify the accuracy or compliance of published content.

23. No guarantees on results

Widder Italia SRL does not guarantee economic, commercial, or visibility results from using the services.

The use of the platforms and tools provided is at the user's own responsibility.

24. Maintenance and updates

Widder Italia SRL may perform technical interventions, updates, or maintenance on its systems and platforms.

Such interventions may include temporary limitations or interruptions of services and may be carried out without prior notice if necessary for technical or security reasons.

25. Force majeure

Widder Italia SRL cannot be held responsible for delays or interruptions of services caused by events beyond its reasonable control.

These include, by way of example:

• cloud service or network infrastructure disruptions;
• cyber attacks;
• natural events;
• strikes or measures by authorities.

26. Service levels (SLA)

Unless otherwise specified in the contract, Widder Italia SRL does not guarantee minimum levels of service availability.

Services are provided according to the principle “as available”.

27. Migration of technical infrastructure

Widder Italia SRL reserves the right to modify, update, or migrate the technical infrastructure used to deliver services.

Such changes may include transferring services to new technological platforms or cloud infrastructures, without the need for prior user authorization.

28. Third-party technical interventions

Widder Italia SRL cannot be held responsible for any malfunctions caused by technical interventions carried out by third parties commissioned by the client.

29. Governing law and competent court

These Terms and Conditions are governed by Italian law.

For any disputes, the competent court is the Court of Milan.
